Definitions

The terms defined in this article 2. for the purposes of these GTC have the meaning given in the following points of this article.

E-Shop

E-Shop is the online store of Luxury Led Lights s.r.o. located on the website enabling the purchase of goods offered by Luxury Led Lights s.r.o. on the mentioned page.

​

Registration

Registration is filling out an electronic form containing boxes for filling in data about the buyer, including personal data. Data marked with an asterisk are mandatory data, the filling of which is necessary for successful registration and completion of the purchase. Registration is associated with certain benefits provided by Luxury Led Lights s.r.o.

​

Buyer

The buyer is a natural person capable of legal acts or a legal entity that has expressed interest in purchasing goods through the e-shop and concluding an agreement with the company Luxury Led Lights s.r.o. purchase contract regarding the goods offered through the e-shop and which for that purpose properly filled out and sent a binding order through the e-shop and delivered it to Luxury Led Lights s.r.o. . Its statutory body or representative acts on behalf of the legal entity buyer.​​

Authorized person

The authorized person is a person, different from the buyer, listed in the binding order as the person to whom the ordered goods are to be handed over. Indicating the name of the authorized person in the order form is considered his authorization to take over the ordered goods.​

Order form

The order form is an electronic form containing mainly the buyer's invoicing data - name, surname, residential address and telephone number, delivery information, method of payment, method and price of delivery of the goods to the place of delivery, description of the ordered goods and the purchase price of the ordered goods, including VAT...

​

Current product offer

The current product offer is the product offer published on the website www.luxuryledlights.sk, which mainly contains the text description of the product (e.g. name, model, manufacturer, etc.) and information about the current price. Changes to the current product offer (including price changes) are effective from the moment they are published on the website/store. This change does not apply to purchase contracts concluded before the relevant change in the current offer of goods. The goods are mainly products intended for lighting.

Conclusion of purchase contracts

To conclude a purchase contract, based on which the company Luxury Led Lights s.r.o. will deliver the ordered goods to the buyer (hereinafter referred to as the „purchase contract“ or „contract“) occurs on the basis of a proposal for the conclusion of a purchase contract and written acceptance of the proposal for the conclusion of a purchase contract by Luxury Led Lights s.r.o..

Suggestion for concluding a contract („hereafter just the order“)

The proposal for concluding the contract is the buyer's order addressed to Luxury Led Lights s.r.o. The order can only be made by filling out the Order Form on the website www.luxuryledlights.sk and sending it via the e-shop. The order contains an expression of the buyer's consent to these general terms and conditions, whereby the buyer also expresses his consent to the display of the electronic invoice in his profile on the website www.luxuryledlights.sk in accordance with point 8.1 of these GTC, declares that he has been informed of the possibility to withdraw from the purchase contract in accordance with of Article 10 of these GTC and declares that all the information provided by him is true.

​The order expires​​

The order expires by the rejection of the order by the company Luxury Led Lights s.r.o., by the futile expiration of the 5-day period for confirming the order.

​

Acceptance of the contract conclusion proposal (hereinafter only „order confirmation“).

Order confirmation is a timely written statement by Luxury Led Lights s.r.o. addressed to the buyer, in which the company Luxury Led Lights s.r.o. confirms that he accepts the buyer's order. Timely confirmation of the order becomes effective the moment the order confirmation is delivered to the buyer's e-mail address. Silence or inaction of Luxury Led Lights s.r.o. they do not mean confirmation of the order.

The buyer is not entitled to conclude a purchase contract. The company Luxury Led Lights s.r.o. is entitled to reject the order even silently, or without giving a reason.

​

The purchase contract is concluded the moment the order confirmation takes effect, i.e. the moment the order confirmation is delivered to the buyer at his e-mail address. The subject of the concluded purchase contract is the commitment of Luxury Led Lights s.r.o. to deliver the ordered goods to the buyer to the designated place of delivery and the buyer's obligation to take over the goods at the place of delivery and pay for them the purchase price and delivery costs (hereafter only „postage“).

Any change to the order after the conclusion of the purchase contract is a proposal to change the content of the purchase contract and is possible only after the mutual agreement of the buyer and the company Luxury Led Lights s.r.o.. The proposal to change the content of the purchase contract is not the company Luxury Led Lights s.r.o. obliged to accept.​

​

The purchase price of the goods

The purchase price for the ordered goods is stated in the order as well as in the order confirmation. The purchase price always includes VAT and is set in Euro.

​

​The purchase price of the goods does not include postage, which will be charged separately to the buyer according to the method of delivery of the goods to the delivery location chosen by the buyer.

​

All promotions are valid until stocks last, unless for specific goods is stated differently.​

​

After concluding the purchase contract, the buyer undertakes to pay the purchase price, including postage (hereafter together as the „total price“) of Luxury Led Lights s.r.o. in one of the following ways, among which the buyer is entitled to choose when ordering the goods:

• payment by bank transfer

• cash on delivery - payment in cash upon receipt of the goods to the delivery person of Slovak Post or another courier

• payment upon personal collection of the goods at the store

 

​The buyer's obligation to pay the Total Price is fulfilled when the Total Price is credited to the account of Luxury Led Lights s.r.o. or by handing over the Total Price to the courier, Slovak Post, or the responsible employee upon receipt of the goods at the store.

​

When paying by bank transfer, the payment details of Luxury Led Lights s.r.o. stated in the message delivered to the e-mail address of the buyer, who is entitled to make the payment either by bank transfer or by depositing cash to the account of Luxury Led Lights s.r.o. . When paying, the buyer is obliged to indicate the correct variable symbol. The buyer acknowledges that if the wrong variable symbol is entered, the electronic system may not assign the credited payment to his order.

Delivery time

The delivery period in which the company Luxury Led Lights s.r.o. obliged to deliver the goods available to the buyer (i.e. goods that are in stock or at the supplier) is 30 days from the confirmation of the order.​

​

When choosing a payment method other than cash on delivery, or when picking up and paying for the goods in person at the store, the delivery period begins when the Total price is credited to the account of Luxury Led Lights s.r.o. provided that the buyer has specified the correct variable symbol when paying. In the case of an incorrect variable symbol, the delivery period begins to run from the time the payment is assigned to the buyer's order.​

For each product on the website www.luxuryledlights.sk, indicative information about the availability of the goods is given. If the company Luxury Led Lights s.r.o. discovers that the goods from the order are (despite the original availability information) unavailable (i.e. the goods are not in stock and/or at the supplier), Luxury Led Lights s.r.o. informs the buyer about this fact and offers him the possibility to divide or cancel the order. If the purchase price for the goods has already been paid, Luxury Led Lights s.r.o. the buyer will return the money paid for the unavailable title.

Place of delivery

The place of delivery is the address that the buyer indicated in the order as the place of delivery.

Method of delivery of goods to the place of delivery.

The method of delivery of goods to the place of delivery can be chosen by the buyer in the process of ordering the goods.

The methods of delivery of goods to the place of delivery are:

• Slovak Post - by courier to the address given by the buyer (delivery within 1 working day from the dispatch of the goods)

• delivery by GLS courier (delivery within 1 working day from the dispatch of the goods)

• osobný odber tovaru v predajni, v ktorej je zriadené tzv. Odberné miesto pre osobný odber tovaru zakúpeného cez E-shop.

Delivery of goods

Commitment of Luxury Led Lights s.r.o. deliver the goods is fulfilled by handing over the ordered goods to the buyer or an authorized person at the place of delivery. A tax document - an invoice, which also serves as a warranty card - will appear in the customer's profile.​​

​

Liability for defects​​

Details of the rights of the buyer who is a consumer arising from liability for defects and the procedure for claiming goods are governed by the claims procedure, which forms an integral part of these GTC.​​​​

​

Liability for product defects, including the quality guarantee, in the relations that arose between the company Luxury Led Lights s.r.o. and a buyer who is not a consumer within the meaning of Act no. 250/2007 Coll. on consumer protection, as amended, are governed by the relevant provisions of the Commercial Code.​​

​

Cancellation of the order, withdrawal from the contract

As long as the goods have not been sent to the buyer, the buyer can cancel the order. In case of cancellation of the order, we do not charge any penalties or other fees. In the event that the purchase price has already been paid and the order has been canceled according to this point of the GTC, Luxury Led Lights s.r.o. will return the already paid purchase price to the buyer within 14 working days by non-cash transfer to the account specified by the buyer, unless otherwise agreed with the buyer.​

​

Pursuant to Act 102/2014 Coll. on consumer protection when selling goods or providing services on the basis of a contract concluded at a distance or a contract concluded outside the seller's premises and on the amendment of certain laws (hereinafter referred to as „the Act on Distance Selling of Goods“) the buyer who is a consumer is entitled to withdraw from the purchase contract without giving a reason within 14 days from the day of receipt of the goods in accordance with the Instruction on the exercise of the consumer's right to withdraw from the contract published on the website www.luxuryledlights.sk. However, according to the Act on the Distance Selling of Goods, the buyer cannot withdraw from the contract, the subject of which is mainly:​

• sale of goods made according to the special requirements of the consumer, goods made to measure or goods intended specifically for one consumer;

• sale of goods that are subject to rapid deterioration or destruction;

• sale of goods enclosed in protective packaging, which are not suitable for return due to health protection or hygiene reasons and whose protective packaging was broken after delivery;​

• sale of goods which, due to their nature, can be inseparably mixed with other goods after delivery;​​​​​

​

In canceling an order, as well as in withdrawing from the contract, it is necessary to state your name and surname, e-mail, order number, description of the ordered goods, as well as the account number for the purpose of refunding the payment. In order to preserve legal certainty and prove the cancellation of the order, or withdrawal from the contract, we recommend that you cancel the order or withdrawal from the contract in written form by mail to the address Luxury Led Lights s.r.o., Hronská Breznica 114, 966 11, Hronská Breznica, Slovakia or via electronic mail to the address luxuryledlights@gmail.com.​​

​

In case of withdrawal from the contract via e-mail or via a form, the company Luxury Led Lights s.r.o. obliged to send the buyer an e-mail confirming the acceptance of withdrawal from the contract.​​​​

​

The deadline for withdrawal from the contract is considered to be preserved if the notice of withdrawal from the contract has been sent to Luxury Led Lights s.r.o. at the latest on the last day of the withdrawal period. If the buyer withdraws from the contract, the contract is canceled from the beginning.

​

-     The following are excluded from the possibility of withdrawal from the contract upon delivery of goods or provision of services:

1. the provision of a service, if its provision began with the express consent of the consumer and a statement that he was duly informed that by expressing this consent he loses the right to withdraw from the contract after the full provision of the service and at the same time he was delivered a confirmation of the provision of this consent, and if to fully provide the service;

2. sale of goods made according to the special requirements of the consumer, goods made to measure or goods intended specifically for one consumer;

After withdrawing from the contract, the company Luxury Led Lights s.r.o. mandatory:

• take the goods back from the buyer, while the buyer is obliged to send the goods to the address: Luxury Led Lights s.r.o., Hronská Breznica 114, 966 11, Hronská Breznica, Slovakia. We recommend that you send the goods as a package by registered mail. Do not send the goods to us by cash on delivery, because we will not accept cash on delivery. Attach a copy of the tax document - invoice to the package, return to the buyer without undue delay, but no later than within 14 days from the date of delivery of the notice of withdrawal from the contract, all payments received from him on the basis of the contract or in connection with it.

• The company Luxury Led Lights s.r.o. is not obliged to reimburse the buyer for additional costs if the buyer expressly chooses a different method of delivery of the goods than the cheapest common method of delivery offered by Luxury Led Lights s.r.o. . Additional costs mean the difference between the delivery costs chosen by the buyer and the costs of the cheapest common delivery method offered by Luxury Led Lights s.r.o..

• The company Luxury Led Lights s.r.o. reserves the right to withhold the refund of the purchase price until the moment the goods are returned by the buyer, or proof of shipment of goods to Luxury Led Lights s.r.o. . In case of return of damaged goods and/or goods whose value is reduced as a result of such treatment, which is beyond the scope of treatment necessary to determine the nature, properties and functionality of the goods, the company Luxury Led Lights s.r.o. returns to the buyer the purchase price reduced by compensation for damage caused to the goods. Claim of Luxury Led Lights s.r.o. for compensation for damage shall be extinguished by offsetting against the buyer's claim for the return of the purchase price. The purchase price, or the rest of it, after deduction of damages, will be returned by Luxury Led Lights s.r.o. to the buyer by bank transfer to the account specified by him, unless we agree otherwise with the buyer.

• The buyer is obliged to send the goods back or hand them over to Luxury Led Lights s.r.o. no later than 14 days from the date of withdrawal from the contract. The deadline according to the first sentence is considered to have been met if the goods were handed over for transport no later than the last day of the deadline. The costs of returning goods to Luxury Led Lights s.r.o. borne by the buyer.

​​

The company Luxury Led Lights s.r.o. is entitled to withdraw from the purchase contract mainly for the following reasons:

• if when paying to the account of Luxury Led Lights s.r.o. the buyer did not pay the total price even within 30 days from the confirmation of the order,

• if the buyer, who did not cancel the order and also did not withdraw from the contract in accordance with Article 10, does not take over the ordered goods, payment upon personal collection of the goods at the store,

• from the courier at the agreed place of delivery,

• at the relevant post office within the specified collection period,

• at the relevant selected store for personal collection within 14 days of receiving the notification by e-mail about the prepared order,

• if, despite all the efforts of Luxury Led Lights s.r.o., which may be required of it, Luxury Led Lights s.r.o. is not able to deliver the goods, especially because the goods have been sold out, are no longer produced or supplied and are not within the capabilities of Luxury Led Lights s.r.o. otherwise procure it,

• if the price, for which Luxury Led Lights s.r.o., buys the goods substantially changed.

​

Withdrawal of Luxury Led Lights s.r.o. from the contract is effective on the day when the withdrawal is delivered to the buyer, with the fact that delivery of the withdrawal from the contract in the form of e-mail is sufficient for withdrawal. The already paid purchase price will be returned by Luxury Led Lights s.r.o. to the buyer within 14 days of withdrawal from the contract by cashless transfer to the buyer's account, unless otherwise agreed with the buyer.

​Withdrawal of Luxury Led Lights s.r.o. from the contract does not affect the claim of Luxury Led Lights s.r.o. for reimbursement of costs incurred in connection with a futile attempt to deliver the goods.

​

If you decide to withdraw from the contract, you need to fill out the contract withdrawal form and send it to the seller via email at luxuryledlights@gmail.com or by post.

​

Alternative dispute resolution

On the basis of the amended Act no. 102/2014 and Act no. 391/2015 on the alternative resolution of consumer disputes, the consumer has the right to an alternative (out-of-court) method of dispute resolution.

​

The proposal can be submitted in the manner determined under §12 of Act 391/2015 Coll. To submit a proposal, he can use the form, the model of which is also available on the website of the relevant ministry and each subject of alternative dispute resolution.​​​

​

List of alternative dispute resolution entities: http://www.economy.gov.sk/obchod/ochrana-spotrebitela/alternativne-riesenie-spotrebitelskych-sporov-1/zoznam-subjektov-alternativneho-riesenia-spotrebitelskych-sporov. The consumer has the right to choose which of the listed entities of alternative resolution of consumer disputes to turn to.​​

The address for submitting submissions in electronic form to the Slovak Trade Inspection is ars@soi.sk​

 

The subject of alternative dispute resolution may reject the consumer's proposal, e.g.: - if the quantifiable value of the dispute does not exceed the amount of 20 euros; - if, given all the circumstances, it is clear that an alternative dispute resolution could only be conducted with disproportionate effort, etc.

​

The consumer can also file a complaint through the RSO alternative dispute resolution platform, which is available online at: https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.show. A consumer living in the EU can file a complaint against a trader based in the EU.

​

The costs associated with the alternative resolution of the dispute shall be borne by each of the parties to the dispute separately without the possibility of reimbursement.

Privacy of personal data

The company Luxury Led Lights s.r.o. processes personal data of buyers and also potential customers („hereinafter together as affected persons“) to the extent, in a manner and for a purpose that is in accordance with the provisions of Act no. 122/2013 Coll. on the protection of personal data and on changing some laws (hereinafter referred to as „the Personal Data Protection Act“).

The company Luxury Led Lights s.r.o. processes the personal data of the affected persons in the scope of: title, first name, surname, residence, e-mail address, billing address, delivery address, contact telephone number and account number for the purpose of concluding and fulfilling the purchase contract and fulfilling the obligations arising from the purchase contract, or in connection with it, as well as in pre-contractual relations with the persons concerned; processes them in particular when processing orders, issuing invoices, delivering ordered goods, keeping records of orders and purchase contracts, keeping records of persons registered through the E-shop and handling possible complaints.

The company Luxury Led Lights s.r.o. processes the personal data of the affected persons in the scope of title, first name, last name and the delivery address of the goods in postal relations with the affected person, especially when delivering the ordered goods; the personal data of the person concerned to the specified extent will be provided by the company Personal Data Protection for the purpose of delivering the ordered goods to courier companies, or Slovenská pošte, a.s.

By subscribing to the newsletter of Luxury Led Lights s.r.o. the person concerned expresses to Luxury Led Lights s.r.o. consent to the processing of personal data in the scope of e-mail address for the purpose of sending marketing news and information in the form of e-mail sent to the specified e-mail address. The person concerned grants the company Luxury Led Lights s.r.o. consent to the processing of personal data for the stated purpose for a period of 10 years from the date of their provision, (hereinafter referred to as „the period of validity of the consent“). Consent to the processing of personal data for this purpose, or with the sending of marketing information, the person concerned is entitled to withdraw at any time by delivering a statement of withdrawal of consent to the e-mail address of Luxury Led Lights s.r.o. luxuryledlights@gmail.com. The company Luxury Led Lights s.r.o. after the expiry of the period of validity of the consent, or after receiving the revocation of the consent to the processing of personal data, it will ensure the immediate blocking and liquidation of the personal data of the person concerned.

By clicking the icon „I agree to the processing of my personal data for marketing purposes“ on the website of Luxury Led Lights s.r.o. the person concerned expresses to Luxury Led Lights s.r.o. consent to the processing of your personal data in the scope of title, first name, last name, e-mail address and contact telephone number for the purpose of sending marketing news and information in the form of an e-mail sent to the specified e-mail address, in the form of an SMS sent to the specified telephone number, or by calling the indicated phone number. The person concerned grants the company Luxury Led Lights s.r.o. consent to the processing of personal data for the stated purpose for a period of 10 years from the date of their provision, (hereinafter referred to as „the period of validity of the consent“). Consent to the processing of personal data for this purpose, or with the sending of marketing information, the person concerned is entitled to withdraw at any time by delivering a statement of withdrawal of consent to the e-mail address of Luxury Led Lights s.r.o. luxuryledlights@gmail.com. The company Luxury Led Lights s.r.o. after the expiry of the period of validity of the consent, or after receiving the revocation of the consent to the processing of personal data, it will ensure the immediate blocking and liquidation of the personal data of the person concerned.

The company Luxury Led Lights s.r.o. declares that it processes only correct, complete and, as far as possible, updated personal data of the persons concerned, ensures that personal data is processed and used exclusively in a manner that corresponds to the defined purpose and ensures their disposal after the purpose of their processing has been fulfilled. The personal data of the affected persons is processed in accordance with good morals and ensures that their unauthorized access, damage, destruction, loss, change, or any other inadmissible method of processing does not occur.

The buyer honestly declares that he has the prior written consent of the person concerned to process his personal data for the purpose of fulfilling the subject of the purchase contract and is entitled to provide this personal data to Luxury Led Lights s.r.o., or by the entity carrying out the delivery of the ordered goods.

By sending the order, the buyer confirms that he has been informed about his rights as a data subject:

The buyer has the right to request an update, addition or correction of his personal data at any time by sending a request to the e-mail address of Luxury Led Lights s.r.o. luxuryledlights@gmail.com.

The buyer has the right, based on a written request from Luxury Led Lights s.r.o. to require:

• confirmation of whether or not personal data about him are processed,

• information on the processing of personal data in the information system to the extent stipulated by the Personal Data Protection Act,

• accurate information about the source from which Luxury Led Lights s.r.o. obtained his personal data for processing,

• list of personal data that is the subject of processing,

• correction or disposal of your incorrect, incomplete or out-of-date personal data that is the subject of processing,

• disposal of his personal data, the purpose of which has ended,

• liquidation of his personal data, which are the subject of processing, if there has been a violation of the law,

• blocking of his personal data due to withdrawal of consent before the expiry of its validity period, if the company Luxury Led Lights s.r.o. processes personal data based on his consent.

The buyer has the right based on a written request to the company Luxury Led Lights s.r.o. object to:

• the processing of his personal data, which he assumes are or will be processed for direct marketing purposes without his consent and to request their disposal,

• using his personal data in the scope of title, first name, last name and address for the purposes of direct marketing in postal communication, or

• providing his personal data in the scope of title, first name, last name and address for direct marketing purposes.

The buyer has the right, based on a written request or in person, if the matter cannot be delayed, at Luxury Led Lights s.r.o. object at any time to the processing of personal data in cases according to § 10 par. 3 letters a), e), f) or g) of the Personal Data Protection Act by stating legitimate reasons or presenting evidence of unauthorized interference with his rights and interests protected by law, which are or may be damaged in a specific case by such processing of personal data; if it is not prevented by legal reasons and it is proven that the objection of the buyer is justified, the company Luxury Led Lights s.r.o. is obliged to block and dispose of personal data, the processing of which the buyer objects to, without undue delay, as soon as circumstances permit.

The buyer has the right, based on a written request or in person, if the matter cannot be delayed, at Luxury Led Lights s.r.o. object at any time and not submit to the decision of Luxury Led Lights s.r.o. , which would have legal effects or a significant impact for him, if such a decision is issued solely on the basis of automated processing of his personal data. The buyer has the right to request the company Luxury Led Lights s.r.o. for the review of the issued decision by a method different from the automated form of processing, while the company Luxury Led Lights s.r.o. is obliged to comply with the buyer's request, in such a way that the buyer will have the decisive role in reviewing the decision; on the method of examination and the result of the finding of Luxury Led Lights s.r.o. informs the buyer within the period according to § 29 par. 3 of the Personal Data Protection Act. The buyer does not have this right only if it is established by a special law in which the measures to ensure his legitimate interests as a data subject are regulated, or if within the framework of pre-contractual relations or during the existence of contractual relations, the company Luxury Led Lights s.r.o. issues a decision complying with the buyer's request, or if the company Luxury Led Lights s.r.o. on the basis of the contract, will take other appropriate measures to ensure the legitimate interests of the buyer.​

 

The buyer is entitled to submit a notification to the Office for the Protection of Personal Data if he suspects that his personal data is being processed without authorization.

​

The provisions on the conditions for processing the personal data of the persons concerned, as well as on the rights of the buyer as a person concerned in the sense of this article of the General Terms and Conditions, apply to all persons concerned accordingly.

​

The buyer agrees to the processing of personal data by the seller.

​

The operator of the site is responsible for the processing of personal data in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of natural persons in the processing of personal data and on the free movement of such data, (hereinafter referred to as GDPR)

Affected person - buyer, operator - operator of the online store www.luxuryledlights.sk

​

List of personal data: name, surname, street and number, zip code, city, email, telephone contact.

​

Purposes of processing personal data: issuing a tax document, contacting the customer regarding the order, fulfilling the contract. Personal data will not be further processed in a way that is not compatible with these purposes.

​

Recipients: operator of the online store www.luxuryledlights.sk, accounting company, courier company, Nomads s.r.o. ensuring the technical operation of the e-shop.

​

Legal basis for the processing of personal data: The processing of personal data (name, surname, title, street and number, zip code, city) is necessary according to a special regulation or an international treaty to which the Slovak Republic is bound. Above all, according to Act no. 222/2004 Coll. on value added tax.​​

​

​The processing of personal data (email, telephone contact) is necessary for the performance of the contract.

​

Period of storage of personal data: 10 years.

​

By agreeing to the terms and conditions, the person concerned also gives his express and unreserved consent for the operator to process his personal data for the aforementioned purposes, during the aforementioned period and to the aforementioned extent. The person concerned has the right to withdraw his consent at any time. Withdrawal of consent does not affect the lawfulness of processing based on consent prior to its withdrawal. The person concerned is obliged to provide true and up-to-date personal data. The rights of the data subject are governed by chapter 3 of the GDPR. It goes, for example o the right to file a complaint with a supervisory authority, o the right to object to processing, the right to request from the operator access to personal data concerning the person concerned, the right to correct or delete or limit the processing of personal data, as well as the right to data portability.

Final provisions of the GTC

These General Terms and Conditions enter into force on 01.02.2018. Any changes to these General Terms and Conditions become effective on the date of their publication on the website www.luxuryledlights.sk. of the Code, while the provisions of the contract take precedence over the provisions of these General Terms and Conditions and the dispositive provisions of generally binding legal regulations, and the provisions of these General Terms and Conditions take precedence over the dispositive provisions of generally binding legal regulations. In the event of a conflict between these GTC and generally binding legislation, the generally binding legislation takes precedence.

In the event that any provision of these GTC is or becomes invalid, ineffective and/or unenforceable, this does not affect the validity, effectiveness and/or enforceability of the other provisions of these GTC, unless the very nature of such provision precludes this in accordance with the relevant legal regulations. The parties undertake, without undue delay, after discovering that any of the provisions of the purchase contract or these GTC is invalid, ineffective and/or unenforceable, to replace the affected provision with a new valid provision, the content of which will fulfill the purpose of the original provision to the greatest extent possible.​
